These Terms govern your access to and use of Asyncotel, operated by J.RUUPSHILAA PRIVATE LIMITED. Please read them carefully — by using the Services you agree to be bound by them.

"Asyncotel", "we", "us" or "our" refers to J.RUUPSHILAA PRIVATE LIMITED, a company incorporated in India with its registered office at 967/1, C.P. Mission Compound, Sipri Bazar, Jhansi, Uttar Pradesh – 284003. GSTIN 09AAGCJ5051K1ZF.
"Services" means the Asyncotel hotel-management SaaS platform including the Property Management System, Channel Manager, Booking Engine, Restaurant POS, Bar, Banquet, Spa, CRM, Accounting, HR and all related modules offered from time to time at www.asyncotel.com.
You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872. By creating an account you represent that the information provided (business name, GSTIN, contact details, property count) is accurate and kept up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at admin@asyncotel.com of any unauthorised access or security breach.
Asyncotel is offered as a monthly / quarterly / yearly subscription across four plans — Starter, Growth, Business and Enterprise. All prices are listed in Indian Rupees (INR) and are exclusive of 18% GST, which is charged in addition as per Indian law.
A 14-day free trial is available on Starter, Growth and Business plans; no payment is collected during the trial. Paid subscriptions auto-start at the end of the trial only upon explicit user action — we do not auto-charge cards.
You authorise J.RUUPSHILAA PRIVATE LIMITED to raise GST-compliant tax invoices against your registered GSTIN (if provided) for each paid billing cycle. Invoices are issued from our Uttar Pradesh GSTIN (09AAGCJ5051K1ZF) with CGST+SGST for intra-state customers or IGST for inter-state customers.
We may revise prices with at least 30 days' prior written notice; revised pricing applies only from your next renewal cycle.
You agree not to use the Services to: (a) violate any applicable law or third-party right; (b) upload malware, attempt to reverse-engineer or probe the platform for vulnerabilities outside a coordinated disclosure programme; (c) resell, sublicense or make the Services available to entities outside your organisation; (d) interfere with other customers' use of the platform.
You are solely responsible for the content you upload — including guest PII, bookings, financial records and property data — and for ensuring you have the legal right to process it.
You retain full ownership of all data you submit to the platform. We process it solely to provide the Services, subject to our Privacy Policy.
We comply with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 in our handling of personal data. Our Data Processing obligations are detailed in the Privacy Policy.
On termination you may export your data in machine-readable form for up to 30 days, after which residual copies are purged from production systems within a further 60 days (backups may take longer as per our retention policy).
The platform integrates with third-party systems including payment gateways (Razorpay), OTAs (Booking.com, MakeMyTrip, Agoda etc.), channel distribution partners, Google Business Profile (optional Google OAuth connection for listing, review and profile features, as described in the Privacy Policy), WhatsApp Business via Meta's Cloud API (optional; inbound/outbound hotel–guest messages as described in the Privacy Policy), email providers and accounting tools. Google Gemini, where used (for example ID-document scan), is a separate processing integration and is neither WhatsApp nor Google Business Profile.
We are not liable for the availability, accuracy, pricing decisions or policy changes of these third parties. Your use of those services is additionally governed by their own terms.
We target 99.5% monthly uptime excluding scheduled maintenance windows (announced at least 48 hours in advance) and events of force majeure. The Services are provided on an "as is" and "as available" basis.
Except as expressly set out herein, we disclaim all other warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total subscription fees paid by you in the three (3) months preceding the event giving rise to the claim.
In no event shall we be liable for indirect, incidental, special, consequential or punitive damages, including loss of revenue, goodwill, bookings, or data corruption caused by third-party services or by user error.
These Terms commence when you create an account and continue until terminated in accordance with this section.
You may terminate your subscription at any time from the in-app Billing page; access continues until the end of the current paid cycle (refunds are governed by our Refund & Cancellation Policy).
We may suspend or terminate your account if you materially breach these Terms and fail to cure within 7 days of written notice, or immediately in cases of fraudulent activity, non-payment beyond 30 days, or serious security/compliance violations.
You agree to indemnify and hold harmless J.RUUPSHILAA PRIVATE LIMITED, its officers, employees and affiliates from any claim, loss, liability or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of applicable law, or your infringement of a third party's rights.
These Terms are governed by and construed in accordance with the laws of India. The courts at Jhansi, Uttar Pradesh shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to the arbitration clause below.
Any dispute shall first be attempted to be resolved amicably. Failing that, it shall be referred to arbitration by a sole arbitrator appointed mutually, under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Jhansi, Uttar Pradesh and the proceedings shall be conducted in English.
